Terms of Service

Important: These Terms of Service constitute a legally binding agreement between you ("Client," "you") and Orsel (China) Technologies, Inc. ("Orsel," "we," "us"). By engaging our services, you agree to be bound by these terms. Please read them carefully before placing an order.

1. Agreement to Terms

These Terms of Service ("Terms") govern your use of the translation, localization, desktop publishing, interpreting, and multimedia services ("Services") provided by Orsel (China) Technologies, Inc. By submitting a project request, accepting a quote, or placing a purchase order, you agree to be bound by these Terms.

If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind such entity.

These Terms may be updated from time to time. The version in effect at the time of your project submission will apply to that project.

2. Services Description

Orsel provides the following professional language services:

  • Translation: Professional written translation of documents, technical materials, marketing content, and other text-based content between 60+ language pairs, compliant with ISO 17100.
  • Localization: Cultural and linguistic adaptation of software, websites, apps, games, and digital products for target markets, including functional and linguistic testing.
  • Desktop Publishing (DTP): Formatting and layout of translated materials in professional design software (InDesign, FrameMaker, Illustrator, etc.) for 80+ languages, including right-to-left and CJK scripts.
  • Interpreting: Simultaneous and consecutive interpretation for conferences, meetings, legal proceedings, and events, available on-site and remotely.
  • Marketing & Transcreation: Creative adaptation of marketing content that preserves brand voice, emotional impact, and cultural resonance across markets.
  • Multimedia: Subtitling, voice-over, dubbing, audio transcription, and video localization services.

3. Project Submission & Acceptance

To initiate a project, the Client must:

  • Submit source files in supported formats along with complete project specifications (language pairs, subject matter, target audience, reference materials, terminology, style guides, and deadlines).
  • Review and approve the project quote provided by Orsel. Quotes are valid for 30 days from issuance.
  • Issue a written purchase order (PO) or email confirmation to formally accept the quote and authorize project commencement.

A project is considered accepted upon Orsel's written confirmation of the PO. Changes to project scope after acceptance may result in revised timelines and pricing.

4. Pricing & Payment

  • Rates: Pricing is based on word count, page count, project complexity, language pair, and turnaround requirements, as specified in the approved quote.
  • Invoicing: Invoices are issued upon delivery of the completed work (or as agreed for milestone-based projects). Invoices are payable in the currency specified on the invoice.
  • Payment Terms: Standard payment terms are Net 30 days from invoice date unless otherwise agreed in writing. For new clients or large projects, a deposit of 50% may be required before project commencement.
  • Late Payments: Overdue invoices are subject to a late payment fee of 1.5% per month (or the maximum rate permitted by law, whichever is lower). Orsel reserves the right to suspend services for accounts with invoices overdue by more than 60 days.
  • Disputed Invoices: The Client must notify Orsel in writing of any invoice disputes within 15 days of receipt. Undisputed portions must be paid on time.

5. Turnaround & Delivery

  • Standard Turnaround: Approximately 2,000–3,000 words per linguist per business day for translation, subject to complexity and language pair.
  • Rush Service: Expedited delivery is available at an additional surcharge (typically 25–50% above standard rates), subject to resource availability.
  • Delivery Method: Completed work is delivered electronically via our secure client portal, SFTP, or email, as agreed. Physical delivery is available at additional cost.
  • Delays: Orsel will promptly notify the Client of any anticipated delays. Delays caused by the Client (late source files, incomplete instructions, delayed approvals) will extend the delivery timeline accordingly.

6. Quality Standards

  • ISO 17100 Compliance: All translation services are delivered in compliance with ISO 17100:2015, which requires translation, revision, and review by qualified linguists.
  • Revision Policy: Orsel provides one round of revision at no additional charge if quality issues are identified and reported within 10 business days of delivery. Revisions are limited to corrections of errors, omissions, or deviations from agreed specifications — not subjective stylistic preferences.
  • Acceptance Criteria: Work is deemed accepted if the Client does not report quality issues within 10 business days of delivery.
  • Quality Metrics: Orsel tracks quality using industry-standard error typology (mistranslation, terminology, grammar, style, omission) and maintains a minimum quality score of 98% accuracy.

7. Client Responsibilities

The Client is responsible for:

  • Providing source materials in clean, editable formats suitable for translation.
  • Supplying reference materials, glossaries, style guides, and previously translated content where available.
  • Clearly communicating project requirements, including target audience, tone, terminology preferences, and formatting specifications.
  • Reviewing and approving deliverables within the agreed timeframe.
  • Ensuring that source materials do not infringe on third-party intellectual property rights.

8. Intellectual Property

  • Work Product: Upon full payment, all rights to the translated and localized deliverables are transferred to the Client. Orsel retains no ownership claim over the finished work product.
  • Source Materials: The Client retains all rights to source materials provided to Orsel. Orsel acquires no rights to source materials beyond what is necessary to perform the Services.
  • Translation Memory & Glossaries: Unless otherwise agreed in writing, translation memories and glossaries developed during a project are the property of the Client and will be provided upon request.
  • Orsel Tools & Processes: Orsel retains all rights to its proprietary tools, processes, methodologies, and project management systems.

9. Confidentiality

Both parties agree to maintain the confidentiality of all proprietary and confidential information received from the other party. This obligation survives termination of the business relationship.

  • All Orsel employees, contractors, and linguists sign comprehensive NDAs before accessing any client data.
  • Client project materials are treated as strictly confidential and are not shared beyond the assigned project team.
  • Orsel complies with applicable data protection laws, including the Personal Information Protection Law (PIPL) of the People's Republic of China and the EU General Data Protection Regulation (GDPR) where applicable.

10. Limitation of Liability

  • No Consequential Damages: Neither party shall be liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities.
  • Liability Cap: Orsel's total aggregate liability for any claims arising under or in connection with these Terms shall not exceed the total fees paid by the Client for the specific project giving rise to the claim.
  • Disclaimer: While Orsel strives for the highest quality, translation is inherently subjective. Orsel does not warrant that translations will be error-free in every respect, but warrants compliance with ISO 17100 quality standards.
  • Force Majeure: Neither party shall be liable for delays or failures in performance resulting from causes beyond its reasonable control, including natural disasters, pandemics, government actions, or infrastructure failures.

11. Indemnification

Each party agrees to indemnify, defend, and hold harmless the other party from and against any claims, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising from:

  • Breach of these Terms by the indemnifying party.
  • Violation of any applicable law or regulation.
  • Infringement of third-party intellectual property rights (the Client indemnifies Orsel for claims arising from source materials; Orsel indemnifies the Client for claims arising from the translation work product).

12. Termination

  • Termination for Convenience: Either party may terminate a project with written notice. The Client shall pay for all work completed up to the date of termination.
  • Termination for Cause: Either party may terminate immediately upon written notice if the other party materially breaches these Terms and fails to cure such breach within 15 days of receiving written notice.
  • Effect of Termination: Upon termination, Orsel will deliver all completed work and return all Client materials. Confidentiality obligations survive termination.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the People's Republic of China, without regard to its conflict of law provisions.

Any dispute arising out of or in connection with these Terms shall first be resolved through good-faith negotiation. If the dispute cannot be resolved within 30 days, either party may submit the dispute to binding arbitration administered by the China International Economic and Trade Arbitration Commission (CIETAC) in accordance with its then-prevailing arbitration rules. The seat of arbitration shall be Beijing, China. The language of arbitration shall be English.

Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent irreparable harm.
